Germaine is a partner at Sidley Austin LLP, where she advises on complex cross-border transactions, carve-outs, and platform builds for private equity sponsors and global corporations. Her experience spans senior in-house leadership at a Fortune 500 global innovator in energy management and automation — where she served as Vice President and Deputy General Counsel and General Counsel of its global software division — alongside marquee deal work across energy, industrials, food and beverage, and digital infrastructure.
Germaine has advised on some of the most significant transactions in her field, including the global combination of Schneider Electric's industrial software business with AVEVA, and acquisitions positioning clients at the intersection of the energy transition, semiconductors, and data infrastructure. Germaine's work has earned wide recognition, including IFLR1000's "Women Leaders Guide for M&A in the United States," The Deal's "Top Women in Dealmaking for M&A," Latino Leaders' "Top Latino Lawyers," and "M&A Legal Advisor of the Year" from The M&A Advisor.
A founding board member of Edesia back in 2009, Germaine has now rejoined the board in 2026 for a second tenure.
Andrew Kamara is the Vice President of Global Operations at Edesia. In this role, he leads the organization’s manufacturing and operational efforts, overseeing production, quality, logistics, warehousing, and supply chain management at Edesia’s Rhode Island facility. He also plays a key role in driving global expansion initiatives related to Last Mile delivery and impact.
Since joining Edesia in 2009, Andrew has held a variety of roles across the organization, contributing to its growth and operational excellence.
Before Edesia, Andrew spent two years at Coca-Cola Enterprises as a mid-level Distribution Resource, managing delivery, storage, and distribution operations for a broad portfolio of bottled beverages. He also worked for six years at United Natural Foods, serving as both a Quality Assurance Specialist and a Supervisor in grocery and repackaging operations.
Andrew holds a degree in Political Science and International Relations from the University of Connecticut and an Advanced Diploma in Electronics from NIIT in Accra, Ghana.
